At first glance, that can feel like a bureaucratic circle. One workable path may be to file the entity with the Secretary of State, obtain the EIN after acceptance, and then finish the connected Tax Division and WorkForce registrations. The right sequence depends on the advised structure and the live portal, so confirm it with the agencies and advisers before acting. Save each accepted record, not merely a screenshot of an application in progress.
Form the company and preserve the accepted identity
The Secretary of State registration page directs new businesses to the One Stop portal and lists entity-specific filing routes and fees. Use the structure selected with advisers, then preserve the accepted articles or authority, organization number, effective date, governing agreement, owners, managers, agent-for-service information, and portal recovery details in an organization-controlled location.
Formation gives the company a legal record. It does not issue the Tax Division's business registration certificate, decide worker classification, insure employees, authorize a center, establish a clinician's qualifications, create an NPI, enroll Medicaid, contract a health plan, approve treatment, or make a claim payable. That distinction may feel fussy on filing day; it becomes valuable the first time a payer asks for evidence from three different issuers.
Treat the West Virginia business certificate as its own gate
The Tax Division business-registration page says every individual or entity engaging in West Virginia business activity must obtain a business registration certificate before beginning, subject to the page's stated exceptions. It also says a separate certificate is needed for each West Virginia location at or from which the business engages with the public. The certificate generally remains permanent until a legal name, location, or ownership change or an agency action requires something different.
That makes a second center more than an address entry in scheduling software. Before opening or moving a location, determine whether a new application or reissued certificate is required, then reconcile legal name, DBA, physical location, mailing address, pay-to address, and effective date. Surrender or closure obligations matter too; a permanent certificate is not permission to leave an obsolete location record open forever.
Choose names and places that can survive public use
If the practice will use a name other than its official registration name, the Secretary of State trade-name page explains the current DBA search and filing route. A DBA is not a new entity, tax identity, license, or payer contract. Make sure the legal name still appears wherever a bank, agency, employee, payer, or family needs to know who is responsible.
West Virginia's license and permit guidance says most cities and counties require a local business license or permit and that zoning varies by location. Before promising a home office or signing a center lease, ask the relevant city and county about business licensing, zoning, occupancy, fire review, signage, parking, accessibility, renovations, and home-occupation limits. A landlord's approval and a Secretary of State filing cannot answer those local questions.
Build employer records from the first real workweek
The Tax Division withholding guidance explains the business-registration certificate and the employer's withholding obligations. WorkForce West Virginia says most employers are liable for unemployment tax, directs a West Virginia employer to apply, and provides an Employer Account Number after registration. The combined One Stop route can send information to several agencies, but each resulting account remains its own record.
Rehearse the week payroll must capture: onboarding, training, preparation, travel, waiting, cancellations, supervision, documentation, corrections, meetings, incidents, and direct care. Have West Virginia employment and tax advisers review classification, timekeeping, overtime, travel, remote work, withholding, new-hire reporting, leave, posters, and payroll controls. Software can calculate from entered facts; it cannot decide which facts are lawful.
Have workers' compensation in place for the workforce you hire
The Insurance Commissioner's Employer Coverage Unit says West Virginia employers are statutorily required to maintain workers' compensation coverage and that the unit reviews claimed exemptions. West Virginia's current Medicaid ABA policy recognizes BCBAs and BCaBAs when their BACB certification is current, they satisfy supervision requirements where applicable, and they meet enrollment criteria. The official sources reviewed for this guide do not present a separate general West Virginia behavior-analyst license. That is not permission to ignore professional boundaries or to advertise a state credential that has not been issued.
The organizational model matters too. West Virginia's OHFLAC behavioral-health-center route describes Certificate of Need or exemption, life-safety review, state fire-marshal input, application, survey, and licensure work for a facility that falls within that category. This is the moment to ask a precise question, not “Does ABA need a license?” but “Which authorities attach to these services, through this organization, at this location?” Counsel, OHFLAC, BMS, payers, and other applicable boards can address their respective lanes. The BACB Ethics Code remains a separate professional obligation within its scope.
Use the Medicaid ABA policy as a qualification map
The current West Virginia Medicaid ABA chapter says a provider must meet Chapter 300 enrollment criteria to participate and receive payment. It recognizes BCBAs, supervised BCaBAs, and behavior technicians within the roles and requirements the policy describes. Build a roster that distinguishes each person's legal name, BACB status, role, competence, supervisor, employer, NPI if applicable, enrollment, plan credentialing, service location, authorization relationship, and effective date. A founder's BCBA certification does not belong to the company. A qualified person does not automatically make every technician, service, member, setting, unit, or claim compliant.
Enroll the organization and people through the current Gainwell route
The current Chapter 300 enrollment requirements say providers may use the Provider Enrollment Application Portal or a paper application, require supporting authority and a West Virginia business license, and warn that submitting an application does not guarantee enrollment. The chapter also says claims will not be paid before the business-license application date and requires a provider agreement for every person or institution furnishing services.
The Gainwell provider page identifies the fiscal agent's enrollment and provider-support functions. Before applying, reconcile the company name, EIN, business certificate, ownership and disclosure records, Type 2 NPI, addresses, EFT, each person's identity and Type 1 NPI, BACB evidence, taxonomies, affiliations, locations, and portal administrators. Save the submitted version, attachments, correspondence, decision, and corrections; a dashboard label alone is weak evidence.
Keep Medicaid enrollment, managed care, and authorization separate
West Virginia says Gainwell handles enrollment for providers seeking participation in Medicaid, WVCHIP, or an MCO. The Mountain Health Trust page says managed care covers most Medicaid members and currently involves four MCOs, while some services remain carved out. A founder still needs to identify the member's program, product, plan, benefit, and current service route instead of assuming every Medicaid member follows the same path.
Track state enrollment, MCO request, contract, network effective date, clinician roster, location, member eligibility, prior authorization, claim receiver, remittance, and first paid claim as different events. An approved state record is not an MCO contract. A plan contract does not activate every clinician or location. A fee schedule does not guarantee coverage, and an authorization does not guarantee that a claim with different facts will be paid.
Let the NPI reveal disagreements instead of hiding them
CMS's NPI notice says enumeration does not validate licensure or credentialing. Choose Type 1 and Type 2 NPIs that fit the advised person and organization model, then compare legal name, EIN, taxonomy, authorized official, DBA, mailing address, service locations, and rendering relationships with the West Virginia entity, business certificate, facility authority, Gainwell, and payer records.
If a portal expects a different owner, taxonomy, address, pay-to relationship, or clinician affiliation, pause before changing a field just to advance the screen. Record the question, current source or adviser consulted, answer, evidence, and effective date. A coherent practice does not require every system to look artificially identical. It requires the owner to understand and defend every meaningful difference.
A fictional Charleston practice discovers the second certificate
Kanawha Pathways is fictional. Its West Virginia LLC and EIN are accepted, and the first Tax Division business certificate covers the founder's administrative address. The team is close to leasing a small center across town. A BCBA's certification is current, the Gainwell enrollment packet is being assembled, and the hiring plan includes one technician. The owners initially assume the first certificate and a general liability quote cover the new location and worker.
A call to the relevant offices changes the plan. They investigate the separate location certificate, local occupancy and business-license route, workers' compensation effective date, and whether the service model triggers facility review before the lease becomes unconditional. Medicaid enrollment and MCO work remain pending. Kanawha Pathways predicts no approval or timeline; it simply turns one optimistic opening date into several answerable questions before a family or employee relies on it.
Calendar West Virginia maintenance before June arrives
The annual-report guidance says registered businesses file an annual report and fee between January 1 and June 30 beginning in the year after registration. A notice may arrive, but the company remains responsible for the filing. Put that deadline beside agent and address changes, the business registration certificate, tax and unemployment filings, workers' compensation, local permits, facility authority, BACB renewal, Medicaid revalidation, MCO rosters, NPIs, ownership, authorizations, and closure duties.
