The return rule for a downstream contract agent limits when a contractor or subcontractor may pass Part 2 information to another party. Section 2.33 permits that third party only when it is the contractor's contract agent helping provide the described services, and only while the agent further discloses the information back to the contractor or lawful holder from which it originated. Independent reuse falls outside this route.

Current rule checkpoint

Live 42 CFR 2.33(c) prohibits a contractor, subcontractor, or voluntary legal representative from redisclosing Part 2 information to a third party under this pathway unless the third party is a contract agent helping the contractor or subcontractor provide the services described in the instrument. That agent may further disclose the information only back to the contractor or the lawful holder from which it originated.

Verify the agent chain

Current 42 CFR 2.33(c) requires a contract-agent relationship and service connection. Record every entity, agreement, function, data, system, location, access path, upstream holder, return flow, deletion, owner, and approval before the agent receives information.

Block side uses and new recipients

The agent should not use the data for its own product development, benchmarking, marketing, unrelated analytics, model training, customer support, legal matters, or another client under this pathway. Route a changed purpose or new recipient through fresh authority review.

Preserve notice and flow-down evidence

The § 2.32 notice remains part of the controlled disclosure chain. Keep the upstream and downstream instruments, notice delivery, field map, access approval, logs, outputs returned, prohibited paths, incident route, and termination evidence together.

Prove the agent relationship

Identify the proposed agent's legal entity, upstream contractor or subcontractor, written agreement, service, function, data, users, systems, locations, access path, and return destination. Confirm that the agent helps provide the services already described in the lawful holder's instrument. A marketplace integration, strategic partner, affiliate, or independent processor does not qualify by label alone.

Map each tier before any transfer. Preserve reviewer, approval, effective dates, and change triggers.

Define the permitted flow

Document the inbound fields, processing, temporary and persistent stores, intermediate copies, output, and the exact route back to the upstream contractor or originating lawful holder. Prevent delivery to another client, unrelated affiliate, data broker, public service, model provider, analytics environment, or new recipient.

Use a data-flow diagram and field manifest that match the contracts and live architecture. Review logs, backups, error queues, support tools, and recovery paths that can create hidden destinations.

Block independent use

Prohibit product development, benchmarking, advertising, marketing, unrelated analytics, model training, research, sale, independent legal use, and retention for the agent's own purpose. Limit workforce, systems, time, and copies to the described service. Require approval before a use, output, or recipient changes.

An output returned upstream can still violate the rule if the agent first used the information for an independent purpose or sent it elsewhere.

Flow down operational controls

Bind the agent to applicable Part 2 terms, furnish and preserve the section 2.32 notice, limit information to necessity, require safeguards and incident reporting, and address access, logs, audits, corrections, sub-agents, return, deletion, and termination. Do not allow the agent to add another tier without fresh review of the section 2.33(c) boundaries.

Test return routes and prohibited egress with technical controls. Contract language should match network policy, account configuration, export permissions, and vendor operations.

Reconcile outputs and termination

For each job, link inputs, processing version, agent, output, return recipient, timestamp, acknowledgment, errors, and deletion or approved retention. Investigate jobs with missing outputs, unknown destinations, unmatched copies, or unexpected reuse. Reconcile volume as well as individual samples.

At service end, stop routes and users, collect final outputs, resolve queues and backups, verify return or deletion, preserve required evidence, and confirm no downstream party retains an independent copy. Treat unauthorized side use or destination as an incident and remediate the full chain.

Example

Fifteen agent relationships are traced. Twelve have a signed service chain, approved fields, return-only outputs, notice, safeguards, logs, incident route, and deletion evidence; three allow independent analytics. Agent-chain compliance is 12 of 15 relationships.

  • prove the agent, upstream relationship, described service, and written chain;
  • map input, processing, storage, copies, output, and the exact upstream return route;
  • prohibit independent use, unrelated recipients, clients, analytics, and model training;
  • flow down notice, binding terms, safeguards, reporting, necessity, and audits;
  • test egress, logs, backups, errors, acknowledgments, and returned outputs; and
  • close access, queues, copies, retention, return, deletion, and incidents at termination.

The agent is a narrow service link. Information should travel back upstream, not branch into a new ecosystem.
